Terms & Conditions

1. Agreement to Terms
By accessing or using BeatPhase ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms in their entirety, you must immediately cease using the Platform. These Terms constitute a legally binding agreement between you and BeatPhase, operated by Ivan Rodriguez. Questions may be directed to damncabo@gmail.com.
2. What BeatPhase Is
BeatPhase is a curated digital marketplace that connects independent music producers ("Producers") with artists, songwriters, and content creators ("Artists") seeking to license original beats and instrumentals. The Platform facilitates discovery, licensing, and delivery of digital music assets. BeatPhase does not create, own, or claim rights to any beat listed on the Platform — all intellectual property remains with the respective Producer unless an exclusive license is transferred.
3. Platform Philosophy — Why There Is No Free Producer Plan
BeatPhase intentionally does not offer a free tier for Producers. This is a deliberate design decision rooted in our core vision: quality over volume.
A free plan would open the marketplace to an unlimited number of producers regardless of commitment level, diluting the catalog and degrading the experience for Artists who come to BeatPhase specifically to find serious, professional-grade beats. By requiring a modest monthly subscription, we ensure that every producer on the Platform has made a real investment in their craft and their presence here.
This is not a barrier — it is a filter. It keeps the marketplace focused, the catalog curated, and the competition meaningful. Artists deserve a marketplace where every beat they encounter was uploaded by someone who takes their work seriously. That standard begins with the Producer plan.
4. Producer Accounts & Subscriptions
4.1 Eligibility. To list beats on BeatPhase, you must be at least 18 years of age, hold the rights to all content you upload, and maintain an active Producer subscription.
4.2 Subscription Fee. The Producer plan is currently priced at $14.99 per month. This fee is billed monthly and grants unlimited beat uploads, access to analytics, email automation tools, and full marketplace visibility. Pricing is subject to change with 30 days' notice.
4.3 Cancellation. You may cancel your subscription at any time. Upon cancellation, your beats will remain listed until the end of your current billing period, after which they will be removed from public discovery. Your account and data are retained for 90 days before permanent deletion.
4.4 Refunds. Subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us within 7 days at damncabo@gmail.com.
5. Platform Fee on Sales
BeatPhase charges 0% platform fee on beat sales processed through the marketplace. Producers keep 100% of their sale amount (minus any applicable payment processor fees charged by Stripe or PayPal).
Example: If an Artist purchases a beat for $50.00, the Producer receives the full $50.00, minus any applicable payment processor fees charged by Stripe or PayPal. BeatPhase does not control or profit from third-party processor fees.
6. Beat Licensing
6.1 License Types. Producers may offer multiple license tiers (Basic, WAV, Trackout/Stems, Exclusive, Unlimited, etc.). The specific rights granted under each license are defined by the Producer and displayed at the point of purchase. BeatPhase does not guarantee uniformity of license terms across producers.
6.2 Non-Exclusive Licenses. Unless explicitly marked as "Exclusive," all licenses are non-exclusive. The Producer retains the right to sell the same beat to other Artists under non-exclusive terms.
6.3 Exclusive Licenses. Upon completion of an exclusive license purchase, the Producer is obligated to remove the beat from sale within 48 hours. Failure to do so may result in account suspension.
6.4 Artist Responsibility. Artists are solely responsible for ensuring their use of a licensed beat complies with the terms of the license purchased. BeatPhase is not liable for disputes arising from misuse of a license.
6.5 No Refunds on Beat Purchases. All beat license purchases are final and non-refundable once the digital file has been delivered or made available for download.
7. Producer Content Obligations
By uploading content to BeatPhase, you represent and warrant that:
- You are the original creator or hold all necessary rights to the uploaded beat.
- The beat does not infringe upon the copyright, trademark, or any other intellectual property rights of any third party.
- The beat does not contain unlicensed samples, loops, or third-party recordings unless you hold a valid license for commercial use.
- You have the legal authority to grant BeatPhase a non-exclusive, royalty-free license to display, stream, and promote your content on the Platform for the purpose of facilitating sales.
BeatPhase reserves the right to remove any content that violates these obligations without notice or refund of subscription fees.
8. Artist Accounts
Artists may browse and purchase beats without a subscription. An account is automatically created upon first purchase to store your license history and provide access to your downloads. You are responsible for maintaining the security of your account credentials. BeatPhase is not liable for unauthorized access resulting from your failure to protect your login information.
9. Prohibited Conduct
You agree not to:
- Upload beats you do not own or have rights to sell.
- Attempt to circumvent the platform fee by directing buyers off-platform after initial contact through BeatPhase.
- Use the Platform to distribute malware, spam, or fraudulent content.
- Reverse-engineer, scrape, or systematically extract data from the Platform.
- Impersonate another producer or artist.
- Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law.
10. Prohibited Content & Zero-Tolerance Policy
BeatPhase is a music licensing platform. It exists solely for the creation, distribution, and licensing of original beats and instrumentals. Any use of the Platform for purposes outside of music — including but not limited to the promotion, sale, or facilitation of illegal goods or services — is strictly prohibited and will result in immediate, permanent account termination.
The following content and activities are explicitly banned on BeatPhase:
- Drugs & Controlled Substances. Any content, messaging, profile description, beat title, or external link that promotes, advertises, or facilitates the sale or distribution of illegal drugs, controlled substances, or drug paraphernalia.
- Pornography & Sexual Exploitation. Any sexually explicit content, pornographic material, or content that sexualizes minors in any form. This includes beat artwork, profile images, descriptions, or linked external content.
- Weapons & Arms Trafficking. Any content that promotes, advertises, or facilitates the illegal sale, trade, or distribution of firearms, ammunition, explosives, or other weapons.
- Illegal Activities. Any content that promotes, glorifies, or facilitates criminal activity, fraud, money laundering, human trafficking, terrorism, or any other activity that violates applicable local, national, or international law.
- Hate Speech & Incitement. Any content that promotes violence, discrimination, or hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
11. Payments & Third-Party Processors
All payments on BeatPhase are processed by third-party payment providers (Stripe and/or PayPal). By making or receiving a payment, you agree to the applicable terms of service of those providers. BeatPhase does not store full credit card numbers or sensitive payment credentials. Any disputes regarding payment processing must be resolved directly with the payment provider, though we will assist where reasonably possible.
12. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. BeatPhase does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
13. Limitation of Liability
To the fullest extent permitted by applicable law, BeatPhase and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising from your use of or inability to use the Platform, even if advised of the possibility of such damages. Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees you paid to BeatPhase in the 12 months preceding the claim, or (b) $100 USD.
14. Termination
BeatPhase reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration or in a court of competent jurisdiction, as mutually agreed upon by the parties.
